Article 571 — Decision Regarding Merger or Division

1/ The merger or division must be approved by the general meeting of each of the business organizations participating in the merger or division pursuant to the rules that apply to the amendment of the memorandum of association of the business organization. 2/ The merger or division must also be approved by the special meeting of shareholders having preferred shares where the business organization engaged in merger or division is a share company that happens to have different classes of shares.
