1/ Subject to the general provisions of Article 181 of this
Code dealing with dissolution of business
organizations, a limited partnership shall be dissolved
and wound-up where the number of its partners is
reduced to one and a partner has not been introduced
to bring the membership to the required level within
six months.
2/ Notwithstanding the provision of Sub-Article
(1) of
this Article, the organ in charge of registration of
business organizations may extend the six-month
period by three months, upon the application of the
remaining partner submitted before the expiry of the
said period, where it finds the request justified.
3/ Unless an extension has been granted under Sub-
Article
(2) of this Article, a partner who continues the
operations of the partnership for more than six
months despite being aware of the fact that the
membership of the partnership has been lowered to
below two shall be jointly and severally with the
partnership itself for the debts and obligations of the
partnership.
