Article 462 — Proposal for Reduction of Capital

Proposals for a reduction of capital shall be sent by the board of directors to the Auditors not less than fifteen days before calling the extraordinary general meeting to approve such reduction; the Auditors shall report to the same meeting their opinion and the reasons therefor on the proposals.
