Article 185 — Memorandum of Association

The memorandum of association of the partnership shall contain the following: 1/ the firm-name; 2/ the head office and branches, if any; 3/ the name, address and nationality of each partner; 4/ the business purpose of the firm; 5/ the amount of cash contribution of each partner, in the case of in-kind contributions, their value and method of valuation; 6/ where there is a partner contributing skill, the services required from him; 7/ the share of each partner in the profits and losses, and mode of allocation of profits; 8/ the manager and agent, if any, of the partnership, and powers and duties of the manager; 9/ the period of time for which the partnership has been established; other particulars determined by the law or agreement of the partners.
