Article 199 — Powers and Duties of the Manager

1/ The manager shall have the power to carry out, in the name of the partnership, all lawful acts in order to achieve the business purpose of the firm. 2/ Any agreements restricting the powers of the manager may be invoked against third parties where such agreements have been entered in the commercial register or it is shown that the third parties knew the scope of the powers of the manager. 3/ Where the partnership continues for more than one year, the manager shall submit a report on the management of the partnership to the partners at the end of each year.
