Article 439 — Claiming Back of Dividends Not Possible

Dividends distributed contrary to the provisions of Article 438 of this Code may not be claimed back from the shareholders, except in the case of family companies or where distribution was made in the absence of a balance sheet or not in accordance with the approved balance sheet.
