Article 318 — Duty of Care and Diligence

1/ A director of a company shall discharge his responsibility with care, skill and diligence; The director shall be liable for damages caused to the company and shareholders due to lack of care or diligence on his particle 2 In this regard, the responsibility of the director shall be measured in terms of care and skill that a director of a company must exercise as well as diligence that may reasonably be expected of a person carrying out the functions of a director of the company.
