Article 173 — Memorandum of Association

1/ A memorandum of association is an instrument drawn up to establish a business organization. 2/ The Ministry of Trade and Industry or another government agency vested with power by law may prepare a model memorandum of association. 3/ Freedom of contract of the parties shall be respected notwithstanding the provision under Sub-Article (2) of this Article In particular, any law or practice that requires parties to limit themselves to the terms of the model issued by a government agency shall be of no effect.
