Article 339 — Effects of Restrictions on Powers of the General

1/ The decisions of the board of directors or other agreements restricting the powers of the general manager not entered in the commercial register shall have effect only as between the company and the general manager. 2/ The company shall be bound by the actions of the general manager based on Sub-Article (1) of this Article only for the benefit of third parties in good faith.
