Article 486 — Final Balance Sheet

Article text
1/ After paying the company`s liabilities, the liquidators shall prepare a final balance sheet, showing what percentage of the surplus asset is available for distribution on each share.
2/ Unless there is a provision to the contrary in the memorandum of association, the liquidators shall calculate the distribution under Sub-Article
(1) of this Article having regard to whether shares have been fully paid up and preferential rights attaching to shares.
3/ The balance sheet signed by the liquidators and the Auditors` report shall be deposited in the Ministry of Trade and Industry or any other relevant government authority.
4/ Any shareholder may, within three months from the deposit of the balance sheet under Sub-Article
(3) of this Article, apply to the court to set aside the final balance sheet; such application shall be heard after the period of three months has expired and, where there are several applications, they shall be heard together; the court`s decision shall bind other shareholders of the company.
5/ Where no application has been made within the period indicated in Sub-Article
(4) of this Article, the final balance sheet shall be deemed to be approved.
