Article 476 — Resignation of Liquidators

Article text
1/ Liquidators may resign by giving three months advance written notice to the body that appointed them; they shall submit the resignation to the board of directors of the company where they were appointed by the general meeting or in the memorandum of association.
2/ Where the liquidators resign without giving prior notice under Sub-Article
(1) of this Article, they shall be jointly and severally liable for damage caused to the company, the creditors or shareholders due to their failure.
