1/ The general manager is responsible for the general
day-to-day management of the company, In the
absence of a provision to the contrary in the
memorandum of association, he represents it in its
dealings with third parties.
2/ Without prejudice to the generality of Sub-Article
(1) of this Article he shall have the duties that
follow:
a) sign and transfer negotiable instruments
especially commercial instruments, transferable
securities and documents of title to goods;
b) discharge responsibilities entrusted to him by
the memorandum of association;
c) discharge responsibilities entrusted to him by
the board of directors and implement its
decisions;
d) preparation of annual work plan and budget of
the company and implementing the same upon
approval by the board of directors; and
e) hiring, managing and firing the employees of
the company, as necessary.
