Article 500 — Contents of the Memorandum of Association

The memorandum of association of the company shall show: 1/ the names, nationality and addresses of the members; 2/ the company name, head office, and branches, if any; 3/ the business purposes of the company; 4/ the amount of the capital and a statement that the capital is fully paid; 5/ the sum of money paid-up by each member; 6/ the value of contributions in kind, if any; 7/ the number of shares held by each member; 8/ the procedure for distribution of profits; 9/ if there are directors, their number and powers; 10/ the number of managers and their powers; 11/ the number of Auditors, if any; 12/ the period of time for which the company is established; 13/ the manner in which and the period within which the company will publish its performance report; 14/ relationship among the company’s management, company and its members and amongst the shareholders; and 15/ other particulars that should be included pursuant to the law or agreement of members.
