Article 426 — Accounts and Annual Report

1/ At the end of each financial year, the directors shall prepare a detailed inventory of the properties of the company and a balance sheet. 2/ The directors shall draw up a balance sheet and a profit and loss account and prepare a report on the state of the company`s activities and affairs during the last financial year. 3/ The report under Sub-Article (2) of this Article shall give detailed information on the profit and loss account, an exact statement of the total amount of remuneration of the directors, members of the supervisory board, if any, and auditors, and proposals for the distribution of dividends, if any.
