Article 200 — Manager`s Improper Exercise of Power

1/ Where a manager acts in the name of the partnership for his own benefit, the partnership shall be liable to third parties who dealt with him in good faith. Where it is shown that the third parties were aware of the improper use of the partnership name by the manager, the manager alone shall be liable. 2/ Where a manager deals with a third party without using the partnership’s name, he shall be deemed to have acted on his own behalf. The partnership shall be liable where it is shown that the manager was transacting on behalf of the partnership. 3/ A manager who acts outside the scope of his powers shall alone be liable.
