Article 397 — Right to Takepart in Ordinary Meetings

1/ Notwithstanding any provision to the contrary, any shareholder has the right to take part in ordinary meetings without regard to the number of shares held. 2/ Unless otherwise provided in the memorandum of association, any shareholder may be represented by another person, whether a shareholder or not.
